RENTAL AGREEMENT

This RENTAL AGREEMENT("AGREEMENT") is entered into this _____ day of _________, 2001 by _______________________ ("RENTER") and ____________________________ ("SPACE OWNER.")

1. SERVICES TO BE PROVIDED BY SPACE OWNER

b) SPACE OWNER will provide prompt entry to the space at the Start Time named above.

c) SPACE OWNER will provide RENTER with directions and means to safely close and leave the space at the Ending Time named above.

2. SPACE TO BE PROVIDED FOR THE TOTAL DURATION

b) Provision of electrical power in all event areas, including access to mains/breakers for the total duration.

c) Entry and exit points, including emergency exits, meeting all state and federal regulations and general safety practices.

3. SERVICES TO BE PROVIDED BY RENTER

a) RENTER shall obtain general liability insurance of at least US $___________________. A copy of the certificate of insurance will be provided to the SPACE OWNER via registered mail, or in person, at least ________ hours prior the start of the rental period.

b) RENTER will provide all event security and staff, including a security guard for the front door during Event Hours as named in Paragraph 1.

c) RENTER will provide refreshments, food, and all other concessions. No alcohol will be served at the event.

d) RENTER will provide entire event production, including but not limited to: amplified sound system(s), lighting, art installations, and decorations.

e) RENTER will not allow event staff, talent, and guest count to exceed approximately _____.

f) RENTER will maintain the space in good order, returning the space in the condition it was first received. RENTER will provide all cleaning and removal of event equipment during the Cleanup Time named in Paragraph 1 above.

4. PAYMENT AND DEPOSITS

a) RENTER will pay SPACE OWNER a sum of US $________ for rental of the space, on the following payment schedule:

b) A separate security deposit of US $___________ in will be presented to SPACE OWNER before the rental period. The security deposit is to be returned upon completion of the event, following a walk-through. The walk-through will be conducted at a mutually agreed-upon time, and at least one representative must be present for both RENTER and SPACE OWNER.

c) All funds must be issued by personal check, cashier's check, or money order.

5. CANCELLATION

a) In the event RENTER decides to forfeit the space after contract signing, all not deposits, are still applicable and due as per this AGREEMENT.

b) In the event SPACE OWNER decides to revoke access to the space after contract signing, including during the total duration of the rental time, SPACE OWNER is liable for any unrecoverable monetary losses RENTER incurs as a result.

6. ADDITIONAL TERMS

a) This AGREEMENT may only be modified by a writing signed by both parties.

b) This AGREEMENT is the entire agreement between the parties and supersedes all prior understandings and agreements.

c) This AGREEMENT shall be construed, governed and enforced in accordance with the internal laws of California. Both parties hereto hereby submit to the jurisdiction of California courts for any disputes hereunder.

d) If any action at law or in equity is necessary to enforce the terms of this AGREEMENT, the prevailing party shall be entitled to reasonable attorneys' fees, costs and expenses, in addition to any other relief to which such prevailing party may be entitled.
